This modification ( Modification ) modifies the HRET Subcontract Agreement ( Agreement ) between the Health Research & Educational Trust ("Contractor" or "HRET") and the Montana Health Research & Education Foundation ("Subcontractor"), as such Agreement has been previously modified. Contractor and Subcontractor are each a "Party" and collectively are the "Parties." Terms used in this Modification will have the meanings given to them in the Agreement unless otherwise defined below. The efforts of Subcontractor under the Agreement as modified by this Modification will support the Prime Contract No. HHSM-500-2016-00067C ("Prime Contract ), dated September 28, 2016, issued by The Centers for Medicare & Medicaid Services ("CMS"). This Modification replaces the following items: 1. The purpose of this modification is to split what was previously called Option Period 2 into 3 Option Periods: Option Period 2, Option Period 3 and Option Period 4. This Modification extends the Agreement for the Option 2 Period below: Description Period of Performance Option Period 1 3/28/2019-6/27/2019 Exercised Option Period 2 7/1/2019-7/31/2019 Exercised Option Period 3 8/1/2019-8/31/2019 Not yet exercised Option Period 4 9/1/2019-3/31/2020 Not yet exercised Note: No funding is provided for the period of 6/28/2109 to 06/30/2019, therefore, no work is to be performed during this period. Subcontractor remains committed to performing under the Agreement as modified hereby for Option Period 3 and Option Period 4 if and when such options are exercised by HRET. HRET may elect to exercise each such option with Subcontractor within a commercially reasonable period of time after being notified itself by CMS of CMS exercise of its options for these periods under the Prime Contract. 2. The existing Option Period 1 Budget Amount is replaced with the Option Period 2 Budget Amount, representing activity from July 1, 2019- July 31, 2019. ALL OTHER TERMS AND CONDITIONS OF THIS CONTRACT REMAIN UNCHANGED. Other than as expressly set out in this Modification, nothing in this Modification is intended to alter the rights, duties and obligations of the Parties under the Agreement, which shall remain in full force and effect as expressly modified hereby. This Modification may be executed by the Parties in separate counterparts and each counterpart shall be deemed to be an original, but all such counterparts together shall constitute one and the same instrument. In case of any inconsistencies between this Modification and the Agreement, the terms and conditions in this Modification shall control. IN WITNESS WHEREOF, the Parties have executed this Modification.
