This is a CPFF subcontract for a ceiling of $1,056,426.51 and obligated amount of $200,000.00 for the period of performance October 18, 2019 August 23, 2024.
SECTION C - STATEMENT OF WORK
C.1. PREMISE
The Parties recognize and acknowledge that the nature, amount, and geographic location of work to be performed under the Program is uncertain, and will depend on, among other things, the overall focus of USAID s objectives and requirements, the amount of funding obligated in each year of the prime contract, and the specific tasks approved in each annual work plan. Accordingly, SI cannot commit to SoCha any specific number of tasks, level of effort, or budget, either for the life-of-project, or for any particular project year. Nevertheless, within the constraints imposed by the prime contract, the Parties intend that SoCha shall have significant responsibility for Learns monitoring work as outlined in the Statement of Work from Social Impact s prime contract.
Section C of the Learns prime contract is hereby incorporated by reference.
C.2. PERSONNEL MANAGEMENT
a) Application of Learns Policies & Procedures
Subcontractor personnel will be considered Learns personnel and will observe Learns policies and procedures. To ensure internal equity, Subcontractor personnel will be remunerated in line with the Learns compensation policy (which will be shared with the Subcontractor). Subcontractor personnel will be extended the same fringe benefits and will enjoy the same privileges and work conditions as the other Learns staff members.
b) Lines of Reporting
The Subcontractor will be considered a full member of the project team and will collaborate with SI and other project partners, under the overall direction of SI. Notwithstanding any other provision of this Subcontract to the contrary, SoCha s personnel shall be under the oversight of SI and the day-to-day supervision of the SI s Chief of Party (COP). The COP will establish goals and performance objectives in line with the project workplan and performance will be reviewed on an annual basis.
c) Probationary Period
Key Personnel provided by the subcontractor are subject to a two-month probation period per Vietnamese law. If, within this period, performance does not meet expectations, SI may request that the subcontractor replace the Key Personnel per C.2(e) below. SI reserves the right to extend a probation period for an additional two months (for a total of four months from the individual s start date), in agreement with the Key Personnel and the Subcontractor, and issue a performance improvement plan if performance expectations are not being met at the two-month mark.
d) Short-Term Support
All short-term technical assistance must be approved by the SI COP before work begins. The approval should be written in email and include the name of the staff member, LOE, and rate.
Support provided to the contract under the line item Support for long term staff from Home Office does not need to be pre-approved by SI.
e) Removal of Subcontractor s Employees
i. SI shall have the right, at any time, to request removal of any personnel provided by the Subcontractor whom the Client or the Learns COP reasonably deems the personnel unable to complete the work as described in his/her Job Description with a 30-day notice and supporting documentation.
ii. Replacement (notification). If it becomes necessary to replace personnel named in Section C.3, the Subcontractor shall simultaneously notify SI/Learns COP and the SI-HQ Project Director reasonably in advance and shall submit justification and explanation in sufficient detail to permit evaluation of the impact (including financial impact) on this Subcontract.
iii. Replacement (substitutions). The Subcontractor must have replacement personnel onboarded no more than 60 days following the departure of the employee, unless otherwise approved by SI.
