UISD Snack Vending Machine Commission Agreement

Background
The United Independent School District (UISD) is seeking competitive sealed proposals from vendors to provide comprehensive snack vending services across multiple campuses and departments. The goal of this contract is to ensure the installation and maintenance of vending machines at designated district locations, enhancing the availability of snacks for students and staff.

Work Details
The selected vendor will be responsible for:

1. **Machine Placement and Management**: Installing snack vending machines at various district sites, ensuring they are fully operational, and relocating machines within the same campus upon reasonable notice from the district.

2. **Liability and Indemnification**: Defending, indemnifying, and holding harmless UISD against claims arising from personal injury or property damage due to vendor negligence.

3. **Commission and Revenue Sharing**: Submitting a commission percentage of gross revenue generated by vending machines at approximately 58 district sites, with payments made quarterly.

4. **Additional Considerations**: Vendors may propose additional incentives or value-added services as part of their proposal.

Period of Performance
The contract will initially be for a 12-month period, with options for annual renewal by mutual agreement.

Place of Performance
The services will be performed across multiple campuses within the United Independent School District in Laredo, Texas.

Bidder Requirements
Vendors must comply with specific insurance requirements, including providing proof of insurance within 10 days after award notification. They must also complete various required forms such as the Conflict of Interest Questionnaire, Certification of Criminal History Record Information, and Felony Conviction Notification. Additionally, vendors are encouraged to submit proposals that include any certifications as a Historically Underutilized Business (HUB).
