Background
The City University of New York (CUNY) is seeking a law firm with extensive experience in real estate transactions to represent the University in negotiations involving various properties in New York City.
The goal of this contract is to provide legal counsel and representation for real estate transactions, ensuring compliance with applicable laws and regulations.
Work Details
The contractor will provide comprehensive real estate legal services, including but not limited to:
- Representing CUNY as the purchaser in leasehold condominium transactions, including negotiating purchase and sale agreements, ground leases, and condominium documents.
- Overseeing the formation of condominiums on behalf of CUNY.
- Representing CUNY at closings for leasehold condominium units and preparing related closing documents.
- Preparing documentation for real estate tax exemptions under New York Real Property Law ยง 420-a.
- Negotiating interim lease agreements for use of space prior to closing.
- Advising on legal aspects of permits and modifications to certificates of occupancy.
- Negotiating purchase and sale agreements for commercial properties, including retail use, and preparing related documents.
- Counseling on ground leases, lease agreements, subleases, license agreements, and development agreements.
Period of Performance
The contract term is set for one year from the date it is approved by the Attorney General and the New York State Comptroller, with an option for renewal for an additional year.
Place of Performance
Services will be performed primarily in New York City, covering all counties within New York State as necessary.
Bidder Requirements
Proposers must have a verifiable operating history of at least ten years and a lead attorney with at least ten years of relevant experience.
The firm must be authorized to do business in New York State.
There are no Service-Disabled Veteran-Owned Set Aside requirements; however, there are participation goals of 30% for Minority-Owned Business Enterprises (MBE) and Women-Owned Business Enterprises (WBE), and 6% for Service-Disabled Veteran-Owned Businesses (SDVOB).
