Background
Washington County, Minnesota, established in 1849, is the fifth most populous county in the state with a diverse population of approximately 262,748 residents. The County has transitioned from a rural farming community to an expanding urban area over the last two decades. The County Board of Commissioners governs the county and oversees various services including law enforcement, public works, and community health.
The purpose of this Request for Proposals (RFP) is to select a firm for bond counsel and other municipal finance legal services to support the County's debt financing goals.
Work Details
The selected Contractor will provide comprehensive bond counsel services including:
- Reviewing proposed financing with issuer’s staff and municipal advisor;
- Conducting necessary legal research;
- Advising on financing terms;
- Attending meetings with staff and the County Board;
- Preparing resolutions and offering documents;
- Providing legal advice on disclosure issues;
- Preparing closing papers and IRS forms;
- Reviewing bond transcripts;
- Participating in contract negotiations;
- Performing real estate and title work;
- Advising on arbitrage calculations;
- Providing legal opinions related to investment transactions;
- Coordinating multi-specialty resources for complex projects; and
- Advising on changes in law that may affect the issuer.
Period of Performance
The contract will commence in September 2025 and is expected to last for five years, concluding in September 2030.
Place of Performance
Services will be performed at Washington County Government Center located at 14949 62nd Street North, Stillwater, MN 55082.
Bidder Requirements
Contractors must comply with Minnesota Statute provisions regarding nondiscrimination, insurance requirements (including Commercial General Liability, Professional Liability, Automobile coverage, and Worker’s Compensation), as well as provide proof of insurance prior to contract execution. Contractors must also ensure compliance with all applicable federal laws, state statutes, regulations, and local ordinances.
