Avaya Aura Core Licensing

Background
This Master Service Agreement (the 'Agreement') is established between Michigan State University (the 'University') and the Supplier, which is a corporation or limited liability company based in a specified state. The purpose of this Agreement is to outline the terms under which the Supplier will provide software and related services to the University, ensuring that the software meets specific business requirements and functionality as defined in the Statement of Work.

Work Details
The Supplier will provide COTS (Commercial Off-The-Shelf) software, specifically the Avaya Aura Core Licensing, along with implementation services. The services include delivery, installation, configuration, integration, customization, and modification of the Software. The Supplier is also responsible for conducting Acceptance Tests to ensure that the Software meets all specifications and requirements outlined in the Agreement. Additionally, the Supplier must provide training on all uses of the Software as specified in the Statement of Work.

The Statement of Work will detail:
(a) names and contact information for both parties' Agreement Administrators and Project Managers;
(b) a detailed description of Services including training obligations;
(c) a detailed description of Software including version numbers and specifications;
(d) an Implementation Plan with Milestones;
(e) payment due dates and invoicing requirements;
(f) University Resources required for implementation.

Period of Performance
The Agreement becomes effective on a specified date and will expire on another specified date unless terminated earlier. It may be renewed for up to three additional one-year periods upon written notice from the University.

Place of Performance
The services will be performed at designated sites as outlined in the Statement of Work, which may include various locations within Michigan State University.

Bidder Requirements
The Supplier must ensure that all personnel have legal rights to work in the United States. They are also required to perform criminal background checks on their personnel per MSU Contractor Criminal Background Check Requirements Policy. The Supplier must comply with all rules, regulations, and policies of the University.
