Legal Services for A&F Related to Infrastructure Investment Incentive (I-Cubed) Program

Background
The Commonwealth of Massachusetts Executive Office for Administration and Finance (A&F) is seeking legal services related to the Infrastructure Investment Incentive (I-Cubed) Program. This program, established by St. 2006, c. 293 §§ 5-12, aims to finance public infrastructure improvements associated with certified economic development projects. The selected attorney or law firm will provide counsel to A&F in drafting and negotiating infrastructure development assistance agreements (IDAAs) for approved projects under this program.

Work Details
The attorney will be responsible for the following tasks:
1. Drafting and negotiating IDAAs for certified I-Cubed projects, ensuring consistency with prior agreements and compliance with applicable laws and regulations;
2. Providing up to 10 hours of ongoing legal advice regarding the interpretation or application of IDAAs during the contract term;
3. Reviewing bond closing documents related to bonds issued for approved I-Cubed projects, ensuring accuracy and completeness;
4. Collaborating with bond counsel from MassDevelopment and other entities throughout the process.

Period of Performance
The initial duration of each engagement resulting from this RFR will be twelve (12) months from the date of award, with potential extensions up to a maximum term of four (4) years.

Place of Performance
Legal services will primarily be performed in Massachusetts, specifically in relation to projects approved under the I-Cubed Program.

Bidder Requirements
Bidders must have expertise in public finance, municipal law, and real estate transactions in Massachusetts. They must also demonstrate experience advising governmental entities and be licensed members in good standing of a state bar. Each attorney designated to work on matters for A&F must be licensed members of the Massachusetts State Bar.
