Financial Advisory Services

Background
The City of Winter Park, incorporated in 1887 and located in Central Florida, is seeking proposals for Financial Advisory services. The City operates under a commission-manager form of government and provides a full range of services including police and fire protection, infrastructure maintenance, and community development.

The goal of this contract is to assist the City in reviewing debt policies and guidelines as it considers bond financing for undergrounding power lines, which may involve issuing between $25 million to $50 million in debt.

Work Details
The selected firm will provide a diverse scope of Financial Advisory services including:

1. Reviewing existing debt structure to determine refinancing desirability;
2. Developing proposed financing structures with pros and cons;
3. Advising on bond terms, features, timing, and marketing;
4. Preparing schedules for bond issuance;
5. Assisting in the preparation of official statements;
6. Developing rating agency presentations;
7. Assisting disclosure counsel with necessary documents;
8. Preparing bid documents and evaluating bids for competitive sales;
9. Assisting in selecting underwriters for negotiated sales;
10. Participating in closings;
11. Providing investment recommendations for proceeds;
12. Obtaining commitments from bond insurers;
13. Evaluating underwriters' performance;
14. Presenting reports on bond issues to the City Commission post-closing;
15. Assisting with compliance to SEC Rule 15c2-12 if requested; and
16. Updating the City's Debt Management Policy if requested.

Period of Performance
The contract will be awarded for a period of five years with an option for two one-year extensions.

Place of Performance
Services will be performed within the City of Winter Park, Florida.

Bidder Requirements
Respondents must comply with all applicable laws and regulations. They are required to provide proof of experience and qualifications, financial stability, and must not have been placed on the convicted vendor list. Additionally, they must submit a Certificate of Compliance regarding Public Crime requirements.

Insurance coverage including Workers’ Compensation Insurance, Public Liability, Property Damage Insurance, and Professional Liability Insurance is mandatory.
