Background
The State of Alabama, through the Office of the Chief Procurement Officer, is seeking to renew a contract for Case Management Software with Themis Solutions-Clio. The contract is governed by the Standard Terms and Conditions for Quick Quotes and incorporates Division 4 of the Department of Finance Administrative Code.

Work Details
The contract involves the provision of case management software. The supplier is required to participate in Quick Quote and submit responses electronically through Alabama Buys. The contract also includes clauses related to authority, choice of law, proration, non-appropriation of funds, open trade/no boycott, compliance with Ala. Act No. 2023-409, dispute resolution, cancellation, sales tax exemption, no indemnification, foreign corporation registration, Beason-Hammon Alabama Taxpayer and Citizen Protection Act compliance, conflict of law, disclosure statement, certification pursuant to Act no. 2006-557, supplier qualifications, pricing analysis rights, product delivery and acceptance procedures,
invoice inquiries process,
late payment penalties,
acceptance of electronic payments at no additional cost to the State,
confidentiality rules and click wrap agreements.
Additionally, it includes clauses related to debarment and suspension certification requirements for suppliers and merit system exclusion.
