Background
The USNS Joshua Humphreys (T-AO 188) is a vessel under the jurisdiction of the U.S. Navy. The purpose of this contract is to establish a Non-Disclosure Agreement (NDA) for access to technical data and computer software related to the vessel, ensuring compliance with Department of Defense regulations regarding controlled unclassified information and technical documents.

Work Details
The Offeror agrees to:

(1) Have a corporate principal responsible for ensuring compliance with the terms of the NDA.
(2) Use the Data only in preparation of their proposal in response to solicitation N3220525R4094 and, if awarded, in performance of the resulting contract.
(3) Comply with dissemination restrictions set forth in the Distribution Statement.
(4) Adhere to all export controls and regulations applicable to the Data.
(5) Establish organizational controls to manage access to the Data and prevent unauthorized disclosure, subject to audit.
(6) Not copy or distribute the Data without authorization.
(7) Identify vendors/subcontractors by name and address, providing contact information for their corporate principals who will sign flow-down NDAs.
(8) Ensure third-party disclosures are covered by similar NDAs executed by corporate principals.
(9) Return or destroy all Data upon contract award notice or completion of work, certifying destruction within 30 days if applicable.
(10) Assist in recovering or destroying improperly released Data and reimburse for any costs incurred due to unauthorized disclosures.
