Page 2 of 2 NOTICE OF INTENT TO AWARD A SOLE SOURCE BLANKET PURCHASE AGREEMENT Title: Notice of Intent to Sole Source Enterprise Digital Telepathology Maintenance and Support Services Philips Healthcare Description: The Department of Veterans Affairs (VA), Strategic Acquisition Center (SAC), on behalf of the Pathology and Laboratory Medicine (PLM) National Program Office, intends to award a sole source, firm-fixed-price Blanket Purchase Agreement (BPA) to Philips North America dba Philips Healthcare for enterprise digital telepathology equipment maintenance and support services. The proposed action will provide comprehensive preventive maintenance, corrective maintenance, replacement parts, software updates/upgrades, and end-user technical support for Philips digital telepathology systems deployed across VA Medical Centers nationwide. These FDA-cleared systems support mission-critical clinical pathology operations used for Veteran patient diagnosis and care. The anticipated period of performance consists of a one-year base period with four one-year option periods. The total estimated value of this requirement is anticipated to be within the range of $6 million to $7 million over the five-year period of performance. This acquisition is being conducted under the authority of 41 U.S.C. 1901, as implemented by FAR 12.102(b). The Government has determined that Philips North America is the only responsible source capable of meeting the agency s minimum requirements due to the proprietary nature of the equipment, OEM-controlled maintenance authority, FDA regulatory requirements, and the need to maintain system integrity and uninterrupted clinical operations. This notice is not a request for competitive quotations. However, any interested party that believes it can meet the Government s requirement may submit a capability statement for consideration. Responses must clearly demonstrate the ability to provide OEM-authorized maintenance and support services for Philips digital telepathology systems while maintaining FDA compliance and warranty integrity. For additional details regarding the statutory authority, market research findings, estimated value, and justification for limiting competition, please refer to the attached Justification and Approval (J&A) for Other Than Full and Open Competition.
Background
The Department of Veterans Affairs (VA), through its Strategic Acquisition Center (SAC), is initiating a sole source Blanket Purchase Agreement (BPA) with Philips North America, also known as Philips Healthcare. This action is in support of the Pathology and Laboratory Medicine (PLM) National Program Office, which requires maintenance and support services for enterprise digital telepathology equipment. The systems in question are FDA-cleared and are critical for clinical pathology operations that aid in the diagnosis and care of Veterans.

Work Details
The contractor, Philips North America, will provide comprehensive services including:

- Preventive maintenance
- Corrective maintenance
- Replacement parts
- Software updates/upgrades
- End-user technical support for Philips digital telepathology systems deployed across VA Medical Centers nationwide.

The service model allows each location to customize the service level according to their equipment needs and urgency. Initially, approximately 20 locations will utilize the BPA in the Base Year, with an expected increase to up to 60 locations by the fourth Option Year. The estimated cost for the base year support is $492,000, covering business-hours support for complete systems and additional scanners at the same location. Option years reflect increased scanner counts and expanded system coverage aligned with projected program growth.
