The purpose of this notice is to is to clarify vetting requirements stated in RFP Section L. There is no change to the proposal due date.

1) L.2.m paragraph 5 states "All contractor(s) and or offeror(s) (Prime and Subs) must certify in writing to the Contracting Officer that their company and or subcontractor(s) are or not;

* Foreign Owned or under

* USA Foreign Owned, Controlled or Influenced (FOCI) status."

In other words, every offeror (Prime and Subs) just have to declare whether they are or are not foreign owned of USA FOCI status.

2) Paragraph 7 states "All contractors, prospective contractors or offerors will be vetted to verify their eligibility to receive contract unclassified technical data packages containing CUI, CTI, ITAR, and or EAR information."

In other words, all contractors/offerors will be vetted to verify they are eligible to receive the documentation listed.

3) L.2.m.5 states "All contractor(s) and or offeror(s)(Prime and Subs) must not be under Foreign Owned or USA FOCI or must have USA FOCI mitigated with the following:

a. Be registered with the U.S. State Department and provide a copy of the registration along with the appropriate DSP license or TAA documents to the contracting officer. Visit or contact the U.S. State Department at http://www.pmddtc.state.gov/ to meet this requirement.

b. Canadian Companies must provide to the contracting officer, a copy of their DD2345 Military Critical Technical Data Agreement form signed by the United States/Canada Joint Certification Office in order to receive unclassified TDPs."

There is no language that prohibits any company from an award as long as they mitigate their risk. At a minimum the mitigation strategies are available for all companies/offerors at L.2.m.5.a. Mitigation for Canadian companies is stated in L.2.m.5.b.
